Terms & Conditions

Smyraa Inc. ("FamWed" or "we") is a wedding website that provides valuable wedding-related information for the modern prospective couple. The services offered by us include the FamWed websites located at FamWed.com or any sub domain of FamWed.com (the "FamWed Website"), the FamWed wedding planning app, FamWed For Business (Vendor) app and any other feature, content or applications offered from time to time by FamWed in connection with the FamWed Website whether accessed directly or through our application for mobile devices (collectively, the "FamWed Services"). FamWed is only a platform that connects prospect wedding clients and vendors that the Clients are willing to associate with to undertake their services. FamWed is a wedding aggregation platform.

These Terms of Use (this "Agreement") set forth the legally binding terms for your use and are to be complied with in addition to any agreement or terms agreed upon between the Parties for the FamWed Services. By using the FamWed Services, whether as a "Visitor" (meaning you simply browse the FamWed website) or as a "User" (meaning you have registered with and/or submitted content to the FamWed website either as an individual or as a company), you agree to be bound by this Agreement and the FamWed Privacy Policy located at www.FamWed.com/privacy. This Agreement includes your rights, obligations and restrictions regarding your use of the FamWed Services, please read it carefully. User (and “You”) may refer to both Customers as well as Vendors for the purpose of this Agreement. The term “Customer” shall refer to individuals or Parties undertaking FamWed Services through the FamWed platform and the term “Vendor” refers to the individual or entities listed on the FamWed platform who provide services independently to the customers.

If you do not agree with the Terms of this Agreement, you should leave the FamWed Website and discontinue use of the FamWed Services immediately. If you wish to become a User, submit content, video or images, communicate with other Users and generally make use of the FamWed Services, you must read this Agreement and indicate your acceptance during the content submission process. By using the FamWed services or by doing any of the above, you are complying with all our terms and conditions and clauses mentioned hereinafter.

FamWed may modify this Agreement from time to time and each modification will be effective when it is posted on the FamWed Website. You agree to be bound to any changes to this Agreement through your continued use of the FamWed Services. You will not be notified of any modifications to this Agreement so it is important that you review this Agreement regularly to ensure you are updated as to any changes.

Eligibility

Use of the FamWed Services is void where prohibited. By registering, you (i) represent and warrant that you have the right, authority, and capacity to enter into and to fully abide by all of the terms and conditions of this Agreement, as far as age, jurisdiction, laws of land, etc. are concerned and (ii) agree to comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of the FamWed Services.

Term

This Agreement shall remain in full force and effect while you use the FamWed Services or are a User/ Vendor on the website. FamWed may terminate your use of the FamWed Website or the FamWed Services, in its sole discretion, for any reason or no reason whatsoever, at any time, without warning or notice to you. Upon such termination of agreement, the User shall be stopped from using FamWed Services and all content shall remain to be the Property of FamWed.

User & FamWed Content

• FamWed does not claim any ownership rights in the text, files, images, photos, video, sounds, musical works, works of authorship, or any other materials (collectively, "User Content") that you upload to, submit to, or embed on the FamWed platform; expect content created in collaboration with the FamWed team for its own events/ perusal.
• You represent and warrant that you own the User Content posted by you on or through the FamWed Services. FamWed shall not be liable for any violation of Copyright or any other Intellectual Property or other rights being violated in any manner whatsoever and the User/Vendor posting the same shall be liable.
• After posting, uploading or embedding User Content, you continue to retain such rights as you held prior to posting. However, you hereby grant to FamWed a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, display, reproduce, adapt, modify, rearrange, and distribute your User Content through any media now known or developed in the future.
• This license will terminate at the time you remove your User Content from the FamWed Services except as to any User Content that FamWed has sublicensed prior to your removal. To remove User Content, please send a request to info@FamWed.com.
• FamWed does not take liability to ensure protection of the content posted on the website/platform. We attempt to prevent copying by applying our watermark on each image, but take no responsibility to further protect the content.
• The FamWed Services contain Content owned by FamWed ("FamWed Content"). You agree that you shall not copy, modify, translate, publish, broadcast, transmit, license, sublicense, assign, distribute, perform, display, or sell any FamWed Content.

Prohibited Content

FamWed reserves the right to remove any User Content which it determines to be inappropriate, including but not limited to:

• Content that harasses or advocates harassment of another person.
• Content that contains nudity, violence, or offensive subject matter.
• Content that is libelous, defamatory, or otherwise tortious language.
• Content that promotes an illegal or unauthorized copy of another person’s copyrighted work.
• Content that involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing.

Prohibited Activity

You expressly agree that you will not engage in prohibited activities including:

• Criminal or tortious activity, including fraud, trafficking in obscene material, or copyright infringement.
• Any automated use of the system, such as using scripts to add friends or send comments.
• Attempting to impersonate another User, person, or representative of FamWed.
• Using the account, username, or password of another User at any time.

Copyright Policy

You may not post, modify, distribute, or reproduce any copyrighted material without obtaining the prior written consent of the owner. FamWed takes copyright & Intellectual property rights extremely seriously. If you believe your work has been copied in a way that constitutes copyright infringement, please provide us with relevant proof at info@FamWed.com.

Customers

Users accept and acknowledge that they are only visiting FamWed platform to obtain information about a Vendor and that the booking for the same is done individually, separate from FamWed. FamWed is not involved in transactions in any manner. FamWed shall make all efforts to try that the Customer’s experience is smooth but takes no liabilities or responsibilities to ensure the same.

Vendors

Each Vendor accepts that they are merely listed on the FamWed platform. Any misrepresentation of their identity or work shall be their liability alone. Vendors accept and acknowledge that they are entering into transactions and providing services to the Customer independently and FamWed is in no way involved.

Reviews on Vendor profiles

You can report a review as being false to FamWed for Verification at reviews@FamWed.com. If FamWed receives appropriate and satisfactory proof, the review will be removed within 1 week. Selective solicitation of reviews is a strict NO. Offering any type of compensation for reviews is completely unacceptable & such reviews would be removed without any intimation.

Deletion of Profile of Vendor

FamWed does not permit or facilitate account deletions of Vendors once made. The account may be marked as unclaimed and be made unsearchable upon the platform’s discretion or Vendor’s request.

Third party campaigns

Merchants / vendors registered on FamWed accept that any products purchased through third party platforms (like Nykaa Pro) shall be done as per the applicable terms and conditions of such platforms alone.

User Disputes

Users are solely responsible for their interactions with other FamWed Users. FamWed is only a listing and aggregating platform and no associations or bookings that happen on the platform are the responsibility of FamWed.

Disclaimer of Warranties

THE FamWed SERVICE IS PROVIDED TO YOU ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND. FamWed EXPRESSLY DISCLAIMS ANY AND ALL IMPLIED OR STATUTORY WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

Limitation of Liability

IN NO EVENT SHALL FamWed OR ITS AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. FamWed’S LIABILITY TO YOU WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO FamWed DURING THE TERM OF YOUR USE.

Disputes; Choice of Law; Venue

Any dispute involving the FamWed Services shall be governed by the laws of Hyderabad, India and the Courts of Hyderabad shall have jurisdiction.

Statute of Limitations

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or this Agreement must be filed within one (1) year after such claim arose or be forever barred.
